These Terms of Service (“Terms”) govern your access to and use of the mobile application, community features, and associated services (collectively, the “Services”) provided by A Bad Ass Life Podcast (“we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 15, do not access or use the Services.

1. Eligibility and Authority

You must be at least 18 years of age to access or use our Services. If you are accessing or using our Services on behalf of another person or entity, you represent that you are authorized to accept these Terms on that person or entity’s behalf and that the person or entity agrees to be responsible to us if you or the other entity violates these Terms.

2. Accounts, Account Security, and Electronic Notices

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete account information and promptly update your details if they change. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify us if you discover or suspect unauthorized access to your account.

By creating an account, you consent to receive electronic communications from us (via email or direct notices within the application). These communications may include administrative notices, security alerts, and service updates. You agree that any notices, disclosures, or agreements sent electronically satisfy any legal requirement that such communication be in writing.

Our Services may allow you and other users to create, post, store, and share text messages, comments, media, photos, and other materials (collectively, “User Content”).

You retain all ownership rights in and to your User Content. You grant us a nonexclusive, royalty-free, worldwide, transferable license to use, host, reproduce, modify, adapt, publish, and display such User Content solely for the purpose of operating, maintaining, and delivering the Services to you and your community.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to submit your User Content, and that your User Content does not violate these Terms or infringe the rights of any third party.

4. SMS and Notifications

If you choose to receive SMS messages or push notifications regarding app activity, updates, or account alerts:

Opt-Out: You can cancel messaging at any time by replying "STOP" to any text message or by disabling push notifications in your mobile device settings.

Support: Reply "HELP" for assistance or contact us directly at [email protected].

Carrier Liability: Wireless carriers are not liable for delayed or undelivered messages. Standard network carrier message and data rates may apply.

5. Prohibited Conduct and Acceptable Use

You agree that you will not violate any applicable law, contract, intellectual property, or third-party right, and that you are solely responsible for your conduct while accessing or using the Services. When accessing the Services, you agree not to:

Engage in any harassing, threatening, intimidating, predatory, defamatory, or stalking behavior.

Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.

Use or attempt to use another user’s account without proper authorization.

Interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services, or damage, disable, or overburden the operation of the application.

Reverse engineer, decompile, or disassemble any aspect of the Services, or do anything that might discover source code or bypass measures employed to prevent or limit access.

Scrape, crawl, or use automated scripts or data-mining tools to extract data from the Services.

Use the Services for any unlawful, misleading, malicious, or discriminatory purpose.

6. Intellectual Property Rights

The Services and all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, artwork, and computer code (collectively, the “Content”) are owned, controlled, or licensed by us and are protected by copyright, patent, trademark laws, and various other intellectual property rights.

Except as expressly provided in these Terms, you are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial community engagement. No part of the Services or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium without our express prior written consent.

Any questions, comments, suggestions, ideas, or feedback you submit regarding the mobile application or our services (“Feedback”) is non-confidential and will become our sole property. We are entitled to the unrestricted use and dissemination of Feedback for any purpose without acknowledgment or compensation to you.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless A Bad Ass Life Podcast, its affiliates, officers, directors, agents, partners, and employees from and against any loss, liability, claim, demand, damages, expenses, or costs (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any rights of another individual or entity.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE, OR THAT ACCESS WILL BE UNINTERRUPTED OR SECURE FROM HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR AFFILIATES BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).

13. Dispute Resolution; Binding Individual Arbitration

Please read this section carefully, as it requires you to arbitrate certain disputes and limits the manner in which you can seek relief.

Except for individual small claims actions or claims seeking emergency injunctive relief for intellectual property misuse, you and A Bad Ass Life Podcast waive your rights to a jury trial and to have any dispute arising out of or related to these Terms resolved in court. All disputes will be resolved through confidential binding arbitration administered by the Judicial Arbitration and Mediation Services (“JAMS”) under its Streamlined Arbitration Rules and Procedures.

Class Action Waiver: You and A Bad Ass Life Podcast agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notification of your intent to opt out to [email protected].

14. Governing Law and Venue

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute not subject to arbitration will be resolved exclusively in the state or federal courts located in Florida.

15. Termination

We reserve the right, without notice and in our sole discretion, to suspend or terminate your account and your right to access or use the Services at any time if you violate these Terms or engage in conduct harmful to other users or the platform.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of any remaining provisions. These Terms constitute the entire agreement between you and A Bad Ass Life Podcast regarding your use of the Services.
